These Terms of Service (“Terms”) govern your use of the Kwamsource website (the “Site”), operated by Rich & Rae LLC, a New York limited liability company doing business as Kwamsource (“we” or “us”). By using the Site, you agree to these Terms.
1. B2B use only
Kwamsource is a business-to-business (B2B) wholesale distributor. The Site and our services are intended solely for businesses, institutions, resellers, and other wholesale buyers. We do not sell to individual consumers.
2. Account requests & quotes
Submitting an account or quote request does not create a binding order or obligation on either party. Availability, pricing, and payment terms are confirmed separately in writing upon account approval. Quotes are valid for the period stated and are subject to change.
3. Orders & payment
Orders are accepted only upon our written confirmation. Payment terms, if extended, are subject to credit approval and are stated on your invoice. Title to goods passes upon delivery unless otherwise agreed in writing.
4. No warranties on information
Information on the Site, including product descriptions and category listings, is provided for general informational purposes and may be updated without notice. We do not guarantee that any specific product, brand, or quantity will be available at any time.
5. Intellectual property
The Kwamsource name, logo, and Site content are the property of Rich & Rae LLC and are protected by intellectual property laws. You may not copy, reproduce, or misuse our branding or content without our written permission.
6. Limitation of liability
To the fullest extent permitted by law, Rich & Rae LLC shall not be liable for indirect, incidental, or consequential damages arising from your use of the Site. Our aggregate liability for any claim arising from the Site is limited to the amount, if any, you have paid us in connection with the transaction giving rise to the claim.
7. Third-party links
The Site may contain links to third-party websites. We are not responsible for their content or practices.
8. Governing law
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved in the courts located in New York, subject to applicable federal and state rules.
